O Architecture recognises that architectural design projects and property developments often involve sensitive commercial information. This Confidentiality & Non-Disclosure Policy outlines how confidential information is protected when engaging with O Architecture.
By engaging the services of O Architecture or sharing information relating to a project, the Client agrees to the terms outlined in this policy.
1. Purpose of This Policy
The purpose of this policy is to ensure that:
- confidential project information is protected
- intellectual property and design concepts remain secure
- commercial discussions are treated with discretion
- sensitive development information is not disclosed to unauthorised parties
2. Definition of Confidential Information
Confidential information includes, but is not limited to:
- architectural drawings and design concepts
- development proposals and site strategies
- property development plans and feasibility studies
- architectural visualisations and CGI materials
- project documentation and specifications
- financial information and pricing structures
- client contact information
- technical or commercial data relating to a project
Confidential information may exist in written, digital, verbal, or visual form.
3. Confidentiality Obligations
Both O Architecture and the Client agree to treat confidential information with appropriate care.
Confidential information must not be:
- disclosed to third parties without consent
- shared with competitors or unrelated parties
- used for purposes unrelated to the agreed project
- reproduced or distributed without authorisation
All parties must take reasonable steps to prevent unauthorised disclosure.
4. Protection of Design Concepts
Architectural concepts, drawings, visualisations, and development proposals created by O Architecture are considered confidential intellectual property.
These materials may not be:
- shared with other designers, architects, or consultants without permission
- used to obtain alternative design services
- copied or reproduced in whole or in part
- used for other development sites
Such materials remain protected under copyright and intellectual property law.
5. Sharing Information with Project Professionals
Confidential information may be shared with contractors, engineers, consultants, or planning professionals only where necessary for the progression of the project.
Such parties should be informed that the materials remain confidential and subject to intellectual property protection.
6. Duration of Confidentiality
The confidentiality obligations outlined in this policy apply:
- during the course of the project
- after the completion of the project
- after termination of any agreement between the parties
Confidential information must remain protected unless it becomes publicly available through lawful means.
7. Exclusions
Confidentiality obligations do not apply to information that:
- is already publicly available
- was lawfully obtained from another source
- must be disclosed to comply with legal obligations
8. Breach of Confidentiality
Any unauthorised disclosure or misuse of confidential information may constitute a breach of this policy and may result in appropriate legal action.
O Architecture reserves the right to seek remedies including:
- removal of improperly disclosed materials
- financial compensation
- injunctive relief where appropriate
9. Policy Updates
O Architecture may update this Confidentiality & Non-Disclosure Policy periodically to reflect legal requirements and professional standards.
